ADRIATIC.HR AFFILIATE CONTRACT
CONTRACTING PARTIES
This contract is signed between tourist agency "Adriatic.hr", with the main office in Split at the address Washingtonova 5, 21000 Split (hereinafter, the Agency) and the owner of the Internet site who has expressed a wish for entering the Adriatic.hr affiliate program by completing the online application form (hereinafter: the affiliate partner).
SUBJECT OF THE CONTRACT
This contract defines conditions of participation, business principles, rights and obligations and code of conduct for all participant of the Agency affiliate program (hereinafter: the affiliate program).
PARTICIPATION IN THE PROGRAM
Each legal and natural person that owns an Internet site can participate in the affiliate program. To become an affiliate partner, the party must receive a unique Adriatic.hr Internet address (hereinafter: affiliate URL). After completing Adriatic.hr affiliate online application form (hereinafter: online application), the affiliate partner will receive the affiliate URL. Right upon sending all the necessary information, the Agency will automatically send the affiliate URL. The affiliate partner will redirect traffic from his/her Internet site to the given affiliate URL.
All Internet sites containing the following contents cannot enter the affiliate program:
It has to be mentioned that the party that has been denied entering the affiliate program, or the party that has been excluded from the affiliate program, can re-submit the request for entering the affiliate program after the content of the Internet site has been changed. If the content that was the ground for exclusion has been changed, the party can become an affiliate partner again.
The Agency is continuously monitoring the contents of the affiliate partners Internet sites, in order to maintain the proclaimed standards stated in this contract. If the Agency discovers that the affiliate partner did not make the changes of the site content in accordance with this contract, the Agency reserves the right to terminate the contract immediately.
If the Agency discovers that the affiliate partner uses spam advertising methods (spam e-mails, spam advertising on newsgroups etc.), the Agency can terminate the contract immediately.
RELATION BETWEEN THE CONTRACTING PARTIES
Parties of this contract are independent contractors. No regulation in this contract represents any kind of partnership, mutual investment or any kind of agency cooperation. Affiliate partner doesn't have authority to offer or to present Adriatic.hr services that are not defined hereof, or to be exclusive agent of Adriatic.hr agency.
LIMITATION OF LICENSE
Adriatic.hr gives to affiliate partner a non-exclusive right to advertise all services, more exactly products from Adriatic.hr offer, in the way that is defined in this contract.
Adriatic.hr gives to affiliate partner a non-exclusive right to use Adriatic.hr logotype with a text, to help affiliate partner to be easily identified as a member of this program. Adriatic.hr is keeping all the rights related to protected trade mark, company sign, logotype, motto, text and other graphic samples together with all other Adriatic.hr intellectual property.
If Adriatic.hr rates that affiliate partner doesn't fulfill conditions to possess Adriatic.hr license any more, license will be took away from him or her. The partner will receive a written note about that.
IDENTIFICATION OF ADRIATIC.HR PARTNER
To become recognized as a member of this affiliate program, affiliate partner is committed to put on a visible part of his or her Internet site a graphic logo or a text in cooperation with Adriatic.hr.
Changes of logotype or of text can be made only by Adriatic.hr. Therefore affiliate partner cannot make any changes of graphic logotype or text.
Accepted logotype or texts are also links that are leading, through affiliate URL, to Adriatic.hr pages.
CONNECTING PARTNER'S SITES
The connection between www.adriatic.hr and affiliate partner's site is made by affiliate URL. It's very important to use an original format of the affiliate URL. The minimum change of the link can cause its dysfunction. That can affect the income of an affiliate partner, since the affiliate program is not operating in a proper way.
Link containing affiliate URL can be placed on:
Tourist agency Adriatic.hr is responsible for design of graphics signs and banners that are posted on disposal to our affiliate partners. To see our selection of different banners click here. If the affiliate partner can't find a banner that suit the best for his or hers site between offered banners, we would be very pleased if he or she informs us about that. Requested form will be sent in shortest possible period.
Affiliate partner can choose one or more options when he is connecting with www.adriatic.hr:
By connecting affiliate partner's site with www.adriatic.hr, Adriatic.hr has an access to information about visitor of affiliate partner's site, together with information about the communication between affiliate partner's site and the visitor. By signing this contract, affiliate partner is agreeing that Adriatic.hr has unconditional access to that data and that can use it, process and save the data, also it can even publish that data, only in accordance with Adriatic.hr "privacy statement" published on our pages.
RECORDING THE TRAFFIC AND THE AMOUNT OF COMMISSION
After completing an online application, affiliate partner receives a user name (the same as login E-mail address), and then he or she defines a password for accessing the user part of Adriatic.hr site. In user part of the site affiliate partner can access complete insight in the number of redirected visitors, percentage of each generated reservation, more exactly there it can be saw the index of all incomes and their origin. Affiliate partner can also get insight in present status of his or her account.
Affiliate partner receives a percentage on each reservation that has been made by a redirect visitor from affiliate partner's site. The commission is calculated like it's shown on the table below. Each reservation generated by a redirect visitor is recorded in the user part of the site. The final account with a complete calculation of the affiliate partner commission depends on total traffic that the partner has earned and on dynamics of requested payments. The affiliate partner is entitled only to the first booking commission by a certain guest. If the guest decides to use our services in the future, the affiliate partner is not entitled to the commissions from the new bookings.
Traffic of generated reservations is culminated during one year. Total amount of the traffic generated in the moment of the request for payment is defining affiliate partner's earnings that are calculated based on commission. Mutual connection between total traffic and the commission is shown in a table below.
After the payment, traffic of generated reservations of affiliate partner is not going back to zero, but it continues to grow. That means that the commission of affiliate partner can grow within one year, regardless of dynamics of payments made.
Redirected visitors that have shown an interest for making a reservation of some services don't have any influence on a calculation of the commission done. Only guests that have confirm and paid a reservation are relevant for that calculation.
If the guest cancels a reservation on time and with a good reason, although he has already pay the service, the money will be return to him. That will resolve with cancellation of affiliate partner's commission. We will inform affiliate partner about that, and he will receive all the relevant documentation and correspondence. If the amount has already been paid, agency will withhold that amount from the final amount of the next payment.
PAYMENT DYNAMICS
Payment dynamics of earned commission is flexible and completely adjustable to the request of the affiliate partner. Agency has to process each request and make a payment to affiliate partner within 48 hours after receiving the request and the invoice.
If the affiliate partner is a legal person, he/she is under obligation to issue an invoice with the claimed amount to Adriatic.hr.

Commission is being paid to a foreign currency account and VAT does not have to be included in the invoice.
If the affiliate partner is a natural person, the earned profit can be paid in two ways:
ACTIVATION AND CONTRACT DURATION AND TERMINATION OF THE COOPERATION
All regulations of this contract become activate after the client complete an online application form with all requested data and confirm the same.
The contract is sign for the period of the one year after completing an online application. If parties don't express the request to break the cooperation in a period of one month before the expiration of the contract, the contract is automatically extended for another year.
All regulations of this contract are ending unconditionally when the parties terminate their cooperation, regardless the reason of the termination. This contract can be break, without any previous explanations, by any of the incorporated party. To make a brake of the contract legitimate, it's necessary to deliver a written termination to another side.
Right after the termination of this cooperation, affiliate partner is obligate to remove from his or her site all links, logos, graphic samples, texts, names or any other Adriatic.hr signs, together with all other material that affiliate partner was able to use after signing the contract.
CHANGING THE CONTENTS OF PAGES
Information on Adriatic.hr Internet pages is considered to be correct in the moment of entering. Information published on Adriatic.hr Internet pages is always monitored. If there is a reason to believe that there is a gap between presented and real condition, the prompt change of incorrect information will be done. Tourist agency Adriatic.hr has the right to make changes of the contents and of description of the service. It can also change the price list, without any special, previous or later warnings. It's considered that affiliate partner has accepts all changes of contents of the pages when they are published, if he or she doesn't express the opposite.
CHANGING THE REGULATION OF THIS CONTRACT
Travel agency Adriatic.hr is keeping the specific and unconditional right to change any regulation of this contract in accordance with its needs and without any previous written or oral notice. New regulations of this contract are taking effect when they are published on the Internet, therefore affiliate partner must regularly look over Adriatic.hr site. Adriatic.hr can send a written notice about changes, but this contract doesn't commit the agency to do that. Affiliate partner doesn't have any influence on those changes. If he or she doesn't agree with some changes, he or she cannot demand a removal. This is unique contract that is applied to all affiliate partners without any exceptions. Each of the partners must adjust to the new changes or terminate the contract according to regulations of this contract. If the affiliate partner doesn't send written notice about the termination of the contract, within one month after changes has published, it will be consider that he or she has agree with all changes made.
LIMITATION OF LIABILITY
Affiliate partner doesn't have any responsibility regarding the guest that has made a reservation of the service from Adriatic.hr offer. Adriatic.hr is taking care of the client. The agency is obligate to give to a guest a full service, so Adriatic.hr is doing all activities that are part of our offer: responding the inquiry of potential clients, making calculation, controlling payment, making confirmation of reservation and sending vouchers, canceling reservation, solving reclamation, welcoming guests and giving them all help when they come on holidays.
If the certain guest for any reason is not complying or is obeying Adriatic.hr standards, Adriatic.hr have a right to refuse to give services from our program.
Adriatic.hr is not liable for any indirect, special or any other damage done to an affiliate partner for which could be prove that is a result of participation in affiliate program.
Adriatic.hr is not liable for any indirect damage that is connected with unpaid commission if it is a result of unprofessional use of affiliate URL or erasing cookies.
Adriatic.hr is not liable for any damage done by a mistake in server's work.
CLOSING REGULATIONS
By completing an online application form, potential affiliate partner is confirming that he red terms and condition of affiliate program, that he understood them completely, that they were in accordance with his will, and that he accepted them all.
COMPETENCE OF THE COURT
Parties are obligate to solve all conflicts and misunderstandings that are connected with this contract by a mutual agreement. In case that is not possible to solve the problem agreeably, the authority in charge is Court in Split.

- link to the entire Adriatic.hr site. Affiliate URL is redirecting traffic on a welcoming Adriatic.hr page. Affiliate partner gets this affiliate URL when he completes an online application form. This is the most common type of the cooperation.
- link to a part of the Adriatic.hr site. This affiliate URL redirects traffic only on a one specific topic of Adriatic.hr site.
- link on a special offer or on a targeted service on Adriatic.hr site. Affiliate partner is free to choose between many services from Adriatic.hr offer. He or she can choose those that are most interesting for his or hers visitors. Affiliate URL redirects traffic on strictly specified service in our offer.
- link to the Adriatic.hr search engine. The Affiliate partner allows their visitors direct access to Adriatic.hr search page. The visitors can search through the Adriatic.hr database using different search parameters.The affiliate's URL redirects traffic onto the Adriatic.hr search engine.

If the affiliate partner is a natural person, the earned profit can be paid in two ways:
- It can be used in a form of a discount on any service from our offer which is reserved in one of the next accounting periods.

Adriatic.hr and affiliate partner can also sign a piece-work contract where the realized profit represents the gross amount of the affiliate partner's profit, and the affiliate partner will be paid the net amount of the profit, after all the obligations to the state are settled.
